BY-LAWS: ARTICLE I The name of this Association shall be: Friends of the North Shore Library at Princeville. The purpose of the Friends of the North Shore Library at Princeville, as a nonprofit community service association, is to support the Princeville Public Library and improve its services and resources. This organization is organized exclusively for educational purposes within the meaning of Section 501 (c) (3) of the Internal Revenue Code. Anyone interested in supporting the goals of Friends of the North Shore Library at Princeville who is willing to make timely payments of dues is eligible for membership. Section 1. The officers of this Association shall be a President, a Vice-President, a Corresponding Secretary, a Recording Secretary, and a Treasurer. The officers shall be directors and there shall also be up to 15 directors at large. Section 2. The advisor for this Association shall be the Head Librarian of the Princeville Public Library or appointed designate who shall serve in an ex-officio capacity." Section 1. President: It shall be the duty of the President to preside over regular and executive meetings, to represent the Association on public occasions, and to appoint Members as necessary to head committees for the effective accomplishment of the goals of the Association. The President shall make an annual report to the general membership. Section 2. Vice President: It shall be the duty of the Vice President to assist the President as needed, to preside in the absence of the President, and to succeed the President in the event of resignation or incapacity. The duties shall include coordination of all committee activities. Section 3. Corresponding Secretary. It shall be the duty of the Corresponding Secretary to prepare or delegate correspondence as required, reserve the meeting room in advance, advise committees and/or board members of meetings and changes in dates, and maintain the membership list. Section 4. Recording Secretary. It shall be the duty of the Recording Secretary to record the proceedings of the regular and executive meetings, keep an accurate calendar of events, and to maintain adequate record of the Association's activities. Section 5. Treasurer. It shall be the duty of the Treasurer to receive and deposit all dues and monetary gifts to the Association, to give receipts as required, to pay all bills, keep an accounting of the receipts and disbursements and present regular reports to the Directors as required. The annual balance sheet and income and expenditure account shall be circulated to the membership with the President's report, and shall be audited if required by the Directors. Section 6. Director. It shall be the duty of a Director to act in conjunction with the Officers to formulate annual goals and objectives, establish policies and approve the annual budget." Section 1. A nominating committee shall be appointed by the President. It shall include two Officers and/or Directors and at least one person from the general membership. Section 2. Elections shall be held annually. Then nominating committee chairman shall present a slate at the annual membership meeting to be approved by the membership. Section 3. Terms of office for all officers and directors shall be for one year commencing at the beginning of the fiscal year. A vacancy in any office may be filled by the Board of Directors. Section 1. The following committees shall be standing committees of the Association: Fund Raising, Membership, Projects & Programs, and Public Relations. Section 2. New standing committees may be appointed b a two-thirds vote of the Officers and Directors. Section 3. Special ad hoc committees may be appointed by the President. Section 1. The Treasurer shall maintain the financial records of the Association. Funds of the Association shall be of two types. An Administrative Fund shall be composed of dues and such portion of contributions as the Board of Directors in its discretion deem necessary. The Administrative Fund shall be used to defray the expenses of conducting the affairs of the Association. A Library Fund shall be composed of contributions other than those identified for the Administrative Fund and all monies raised from the fund raising activities of the Association. The Library Fund shall be used to improve the services and resources of the Princeville Public Library. Section 2. The dues of this Association shall be set by the Officers and Directors and may, from time to time, be changed as they deem necessary. The Officers and Directors shall also have the power to create categories of memberships and confer benefits and rights to Members. Section 3. The fiscal year of the Association shall be from January 1 to December 31. Section 1. Regular membership meetings will be conducted at least twice each year at a time and place to be determined by the Officers and Directors. Membership meetings shall be announced to the Members at least fourteen days in advance. Special meetings may be called by the President with the approval of a majority of the Officers and Directors and are subject to at least ten days advance notice to the membership. Any official business conducted at these meetings must be ratified by a vote of a majority of the Members present. There must be a quorum present of at least ten percent of the total Members to conduct any official business. Section 2. Meetings of Officers and Directors will be conducted prior to each regular membership meeting at a time and place to be determined by the President and announced to all Officers and Directors by at least seven days advance notice. All official actions taken by the Officers and Directors must be ratified by a vote of the majority of the Officers and Directors present, but there must be a quorum of at least four Members present. Section 1. Amendments to the By-Laws may be proposed by the Board of Directors or by petition signed by not less than fifteen members. For adoption the amendments must be approved by a majority vote at a regular or special meeting of members of the Association. Section 2. Upon dissolution of the Friends of the North Shore Library at Princeville, all assets shall be distributed for one or more of the exempt purposes within the meaning of Section 501 (c) (3) of the Internal Revenue Code (or corresponding section of any future tax code), or shall be distributed to the federal government, or state or local government, for public purposes. |
